Samsung Electro-Mechanics Holds 53rd Annual General Meeting of Shareholders

▶ All seven agenda items, including the appointment of outside directors, passed
- Choi Jongku reappointed as an outside director, while Kim Mi-young and Lee Jonghoon were newly appointed
- Choi Jongku appointed as Chairman of the Board; 50% female representation among outside directors maintained.

Samsung Electro-Mechanics held its 53rd Annual General Meeting of Shareholders at 9:00 a.m. on the 18th at El Tower in Yangjae-dong, Seoul. For the convenience of shareholders unable to attend in person, the company provided electronic voting and a live webcast of the meeting.

During the meeting, all submitted agenda items—including reports, approval of financial statements, partial amendments to the articles of incorporation, appointment of outside directors, appointment of audit committee members, and approval of director remuneration limits—were passed as originally proposed. For the board appointments, Choi Jongku was reappointed as an outside director, while Kim Mi-young and Lee Jonghoon were newly appointed. It was also resolved to pay a dividend of KRW 2,350 per common share and KRW 2,400 per preferred share.

 

At the event, President Chang Duckhyun personally delivered a presentation, providing shareholders with a detailed overview of the company's management status and key strategic directions.

 

President Chang stated, "In 2025, Samsung Electro-Mechanics focused on strengthening its lineup of high-value-added products, expanding sales in growth markets such as AI, servers, and automotive electronics, and reinforcing its business structure through client diversification. As a result, we achieved the highest sales in the company's history alongside a 24% year-on-year increase in operating profit."

 

He added, "We will actively leverage opportunities for expanded electronic component adoption—driven by large-scale AI investments from global big tech companies, the accelerated introduction of robotaxis alongside advancing autonomous driving technology, and the full-scale deployment of humanoids—to achieve sales growth that outpaces the market."

 

Finally, he emphasized, "We will create new business opportunities with differentiated products, such as high-voltage and high-capacitance MLCCs for AI servers, high-reliability and high-temperature MLCCs for electric vehicles, and camera modules for humanoids, actively shifting our business structure to center on these markets."

To enhance board diversity, Samsung Electro-Mechanics has been appointing female outside directors since 2014 and currently maintains a 50% female representation among its outside directors. In 2016, to strengthen board independence and responsible management, it became the first non-financial Samsung affiliate to appoint an outside director as Chairman of the Board. Furthermore, to ensure objectivity and transparency, all board committees—with the exception of the Management Committee—are composed entirely of outside directors.

 

※ The Samsung Electro-Mechanics Board of Directors consists of three internal directors and four outside directors (including two women). It operates six internal committees: the Management Committee, Audit Committee, Outside Director Nomination Committee, Internal Transaction Committee, Compensation Committee, and ESG Committee.
